Dividends
The Executive Board and Supervisory Board propose that
the EUR 77,000,000 unappropriated net profit for the 2006
fiscal year should be used to pay a dividend of EUR 1.10 on
each of the 70,000,000 no-par-value shares making up the
company's nominal capital stock of EUR 179,200,000.00.
HOCHTIEF will then have increased its dividends by an
average
of more than 17 percent a year for five years in
succession. This is in line with the company's long-term
strategy.
General Shareholders' Meeting 2006
HOCHTIEF Aktiengesellschaft's Executive Board presented
the 2005 financial statements at the General Shareholders'
Meeting on May 10, 2006. Stockholders were also provided
with information about the Group's current business performance
and financial and strategic goals. Well over 95 percent
voted in favor of the motions brought by the Supervisory
Board and the Executive Board. The attendance
rate was 57.4 percent.
Own shares
HOCHTIEF sold holdings of its own shares as planned in
the course of 2006 to meet obligations under current and
future Long-term Incentive Plans. 4,312,059 (6.16 percent)
of HOCHTIEF shares remained in the company's possession
as of December 31, 2006. These were purchased
between
September 1999 and October 2001.
Ownership structure
Of the 70,000,000 no-par-value shares in HOCHTIEF Aktiengesellschaft,
a total of 68.76 percent were freely traded
at the end of 2006. By the definition used by the stock exchange,
this free float does not include the shares owned
by Custodia Holding AG (25.08 percent) or by HOCHTIEF
itself (6.16 percent).
The regional distribution of the 70,000,000 shares is as
follows: 51 percent were held in Germany, 21 percent in
the UK, 15 percent in the USA, four percent in Scandinavia
and the remainder mostly elsewhere in continental Europe.
